The deal would give the crypto exchange's parent company a licensed banking foothold inside the European Union.
Payward, the holding company behind cryptocurrency exchange Kraken, is preparing to acquire Saldo Bank, a licensed bank operating in Lithuania. The reported deal would mark a direct entry by Payward into traditional European banking rather than remaining solely a crypto exchange operator.
Lithuania has become a common entry point for financial firms seeking a foothold inside the European Union. Its central bank has issued licenses to a range of fintech and payments companies in recent years. Acquiring a bank already holding such a license would let Payward skip much of the lengthy application process that new entrants typically face.
For Kraken, owning a bank would mean more than symbolic expansion. A licensed banking entity can offer services that crypto exchanges generally cannot provide on their own, including deposit accounts, payment processing, and potentially credit products. It could also give Kraken more direct control over how customer funds move between fiat currency and crypto assets.
The timing lines up with a broader trend of crypto firms seeking closer ties to regulated banking systems. Exchanges and stablecoin issuers have increasingly pursued banking charters or partnerships as regulators in the United States and Europe tighten oversight of digital asset firms. Owning a bank outright removes a layer of dependency on third-party banking partners, who have at times restricted services to crypto companies.
The European Union's Markets in Crypto-Assets framework, known as MiCA, has pushed exchanges to formalize their operations across the bloc. A banking license obtained through acquisition, rather than built from scratch, could help Payward meet compliance requirements while expanding its product offerings to European customers.
Neither the value of the proposed acquisition nor a firm completion date has been made public. Regulatory approval from Lithuanian and potentially EU-level authorities would likely be required before any deal closes. Such approvals can take months, particularly when a bank is being acquired by a company whose primary business lies outside conventional banking.
Kraken has expanded steadily beyond its original role as a spot crypto exchange. The company has moved into derivatives trading, payment services, and other financial products in recent years. A bank acquisition would represent one of its more significant steps toward operating as a diversified financial institution rather than a pure-play exchange.
Market Impact
If completed, the acquisition would give Payward direct banking infrastructure inside the European Union, reducing reliance on external banking partners for euro-denominated deposits and transfers. This could streamline fiat on-ramps and off-ramps for Kraken's European customers and potentially support faster settlement for trading activity.
The move may also encourage other large crypto exchanges to pursue similar bank acquisitions or charters as a way to secure stable banking relationships under MiCA. Regulators will likely watch the deal closely, given ongoing scrutiny of how crypto firms integrate with traditional financial systems.
The reported acquisition points to Payward's ambition to anchor Kraken more firmly within Europe's regulated banking landscape. Further details are expected as regulatory review proceeds.
