The Coinbase chief executive backed a regulatory plan that could let more retail investors buy into private companies.
Brian Armstrong has publicly endorsed a Securities and Exchange Commission proposal that would broaden retail investor access to private markets. The Coinbase chief executive described the plan as a step toward fairer investment rules, according to reporting on his comments.
The proposal reportedly centers on a merit-based approach to determining who can invest in private companies. That would mark a departure from the decades-old accredited-investor standard, which largely ties eligibility to income or net worth rather than financial knowledge or experience. Under the current system, many retail investors are barred from private deals regardless of their expertise, simply because they fall short of wealth thresholds set decades ago.
Private markets have grown substantially in recent years, with companies staying private longer and raising large sums outside public exchanges. That shift has limited opportunities for everyday investors to participate in early-stage growth that was once more accessible through public listings. Critics of the accredited-investor rule have long argued it entrenches wealth inequality by restricting high-growth investment opportunities to those who are already affluent.
Armstrong's support for the SEC's approach is notable given Coinbase's position at the intersection of traditional finance and digital assets. The company has repeatedly pushed for regulatory frameworks that expand market access, particularly as it works to integrate crypto products with mainstream investment vehicles. A shift toward merit-based qualification could, in theory, open doors for investors who demonstrate relevant knowledge rather than simply meeting income thresholds.
The SEC's proposal arrives amid a broader push in Washington to revisit decades-old securities rules written before the rise of modern private capital markets. Regulators have faced pressure from both investor advocates and industry executives to modernize access rules without weakening investor protections. Any formal rule change would likely involve public comment periods and could face scrutiny over how a merit-based standard would be defined and enforced.
Details on the specific mechanics of the SEC's plan, including how eligibility would be assessed, were not fully outlined in the available reporting. It remains unclear how quickly any such proposal might move through the rulemaking process or what safeguards regulators would attach to protect less experienced investors from the heightened risks associated with private markets.
Armstrong's remarks reflect a continuing trend of crypto industry leaders weighing in on broader securities policy debates, not limited to digital asset rules. His comments suggest an interest in aligning Coinbase's business strategy with evolving access standards across both traditional and crypto-adjacent investment products.
Market Impact
If adopted, a merit-based access standard could reshape how retail investors participate in private markets, potentially increasing capital flows into early-stage companies. For Coinbase, expanded private market access could align with its broader strategy of bridging traditional finance and crypto-related investment products.
The proposal's eventual scope and implementation details will matter significantly to both investors and companies seeking private capital. Markets are likely to watch for further SEC guidance before any material shift in participation patterns emerges.
The SEC's proposal and Armstrong's endorsement highlight growing momentum to rethink private market access rules, though the path to formal regulatory change remains uncertain.
