The Securities and Exchange Commission has rewritten its quorum rule so that, in narrow circumstances, one commissioner can act for the entire agency.
That matters more than usual right now. The commission currently has just two active members, and a stack of crypto proposals is waiting for final decisions.
What the SEC actually changed
The SEC adopted the amendment on September 30, 2026, under Release No. 34-106537. It took effect on October 2, 2026.
The baseline does not move. A standard quorum still requires three commissioners.
The change is the exception. If every other sitting commissioner is disqualified from a specific matter because of ethics rules or a conflict of interest, a single eligible commissioner can now count as a quorum.
This is not the first time the agency has adjusted for a thin bench. Guidance dating back to 1995 allowed two commissioners to act when disqualifications shrank the available pool.
The new rule pushes that logic one step further, from two to one.
A commission running on two engines
The timing is not subtle. Commissioner Hester Peirce’s leave of absence took effect on October 2, 2026, the same day the rule kicked in.
That leaves Chair Paul Atkins and Commissioner Mark Uyeda as the only two active commissioners. The SEC has five seats.
The SEC has framed the amendment as a practical fix. The agency says it is meant to keep operations moving when vacancies or disqualifications would otherwise limit its capacity to make decisions, a problem that has come up before.
Reactions have split along predictable lines. Critics have raised concerns about consolidated decision-making, pointing out that the rule allows substantial agency actions to rest with a single member.
Supporters argue the amendment is a necessary operational adjustment that does not expand the SEC’s substantive powers or sidestep judicial oversight.
The crypto files on the desk
Several crypto-related proposals are currently pending at the agency. Two stand out.
The first is a proposal on crypto-asset custody, covering how digital assets are held and safeguarded. Public comments on that proposal are due December 7, 2026.
The second is a proposed offering exemption under a framework called Regulation Crypto Assets. Comments on that one are due October 20, 2026.
As of mid-October 2026, no decisions had been recorded under the new quorum provisions. The rule is live, but nobody has used it yet.
The amendment is not a crypto-specific rule. It applies to any matter where all other sitting commissioners are disqualified, whether that matter involves digital assets, equities, enforcement or anything else on the SEC’s plate.
What this means for the industry and the agency
Rules finalized by a single commissioner may face more questions about legitimacy than rules backed by a full, bipartisan commission.
There are a few concrete things to watch. The first is the October 20, 2026 comment deadline on the Regulation Crypto Assets exemption, followed by the December 7, 2026 deadline on custody.
The second is whether the single-commissioner exception actually gets invoked, and on what kind of matter.
The third is the empty seats. Any new appointments would change the arithmetic and make the exception far less likely to come into play.
