Regulation Crypto Assets gives token issuers a defined path to raise capital and gives exchanges, brokers and dealers a footnote promising the SEC will keep thinking. Tonight at 03:59:59Z the comment file closes on that asymmetry.
At 11:59:59 p.m. Eastern tonight, October 20, the public comment file on the Securities and Exchange Commission’s Regulation Crypto Assets proposal shuts, which is 03:59:59Z on October 21. That closes the last public window for the industry to hold the pen on what would be the first purpose-built federal offering regime for crypto. The final 48 hours of the docket were busy. AIMA, Bitwise Asset Management, the Hyperliquid Policy Center and Hivemind Capital Partners filed on October 19, and the Aleo Network Foundation on October 18, after earlier entries from GLEIF, Chainalysis and John Reed Stark Consulting with Duke’s Lee Reiners. Those names and dates run as reconstructed from the SEC’s indexed public comment listing. The agency’s pages block automated retrieval, so the letters themselves were not retrieved.
The proposal, File No. S7-2026-27, builds two exemptions from the registration requirements of section 5 of the Securities Act of 1933, and the A&O Shearman walkthrough of the rules shows how narrow the needle is. A startup exemption permits offerings up to $5 million over four years, one time per issuer and its affiliates. File a Form NOR on EDGAR before any offer, skip SEC review, use general solicitation freely, and end reliance with a Form TR transition report. A fundraising exemption, modeled on Regulation A, runs two tiers of up to $20 million or up to $75 million per 12 months, each with caps on affiliate sales. Before any sale, the issuer’s Form 1-CRYPTO offering statement must qualify with the SEC. Tier 2 adds audited financials and continuing reports on new Forms 1-SC, 1-KC and 1-UC.
The disclosure regime is principles-based but not vague. Rule 103 lists ten areas, among them the issuer’s promised essential managerial efforts and its progress against them, token economics and allocation (supply, pricing, lockups, distribution methods, release schedules), security and source code, and governance down to smart contract permissions. Retail buyers who are not accredited are capped at 10% of the greater of annual income or net worth, and antifraud provisions still apply. The larger design move is the Rule 400 safe harbor. An issuer that has completed or permanently ceased all promised managerial efforts files a public Form TR certifying exactly that, with supporting analysis, and the investment contract stops being a security. No deadline, no decentralization test, no staff review. The SEC can dispute the certification, and so can anyone else.
Which leaves the asymmetry the comment file is really about. Issuers get a path. Platforms get a footnote. Rule 500 preempts state registration and qualification for offers and sales under the exemptions, and for secondary trades by anyone other than the issuer, underwriter or dealer, so long as the issuer stays current on filings. Brokers, dealers and exchanges get nothing comparable. The SEC’s own footnote in the proposing release says it will continue to consider whether further action with respect to covered investment contracts beyond the proposed rules in this release is warranted.
The Commission also asked, in comment question 140, how anyone is supposed to tell covered assets apart from uncovered ones when units of the same crypto asset can trace back to different original offerings. The fungibility problem has no answer in the text.
Structurally, this is what market-structure-by-rulemaking looks like after the market-structure bill died. The CLARITY Act failed a Senate cloture vote 49-50 on September 15, days after 18 state attorneys general led by New York’s Letitia James formally urged the Senate to reject it over its preemption of state registration and enforcement. So the SEC writes offering rules, the CFTC writes exchange rules, and the GENIUS Act stack locks on January 18, 2027, an assembly line described in our four agencies, one deadline look at the sprint. After tonight the compliance stack has zero open comment windows.
What happens next is a drafting fight, not a public one. The Shadow SEC Statement No. 15, signed by professors John Coates, John C. Coffee Jr., James D. Cox, Merritt B. Fox and Joel Seligman, argues Regulation Crypto as proposed is deeply flawed
and that At the very least, Regulation Crypto should be reproposed to address two fundamental weaknesses.
Those weaknesses, in their telling, are the unmade case for treating digital-asset investment contracts differently from other investment contracts and the unmade case for principles-based disclosure. Their sharpest line is about Rule 104’s decision not to disqualify for conduct predating the rule, which they call a free pass for those who earlier committed misconduct and want to remain in the crypto industry.
The SEC itself is down to two commissioners after Hester Peirce’s October 2 departure, so whatever the drafting produces needs unanimous agreement from Chairman Paul Atkins and Mark Uyeda.
One caveat sits underneath all of this. It is still a proposal. Until a final rule is effective, none of these pathways exist, the preemption does not attach, and the safe harbor is a promise rather than a door. Tonight the frame stops bending to public comment. Everything after that bends only when the Commission decides it does.
