The Securities and Exchange Commission of Pakistan (SECP) is initiating regulatory action over material discrepancies in the IPO prospectus of SE Fruits and Vegetable Limited, which was based on information in the company’s audited financial statements.
The regulator suspended further proceedings after the book-building process to protect investors. The company later withdrew its IPO voluntarily, with plans to resubmit it at a later stage with more detailed disclosures. All subscription money has been refunded to investors.
SECP is reviewing the case to determine responsibility for procedural irregularities and said appropriate action would follow if violations are established.
Companies seeking to raise funds through an initial public offering (IPO) must disclose their financial position, business plans and associated risks in a prospectus to help investors make informed decisions.
The process begins with the company preparing its financial records and disclosures, which are audited by an external auditor. The consultant to the issue then conducts due diligence, prepares the draft prospectus and submits the application to the Pakistan Stock Exchange (PSX).
The PSX listing committee reviews the application and seeks public comments on the draft prospectus. The company and its consultant must address observations, update disclosures and submit a due diligence certificate before the listing application and prospectus proceed for approval by the relevant authorities.
Once approved, the prospectus is published on SECP’s PRIDE platform, which stands for Public Offerings Revolutionized through an Integrated and Digitized Experience. The book-building process can then begin.
Under Sections 134 and 136 of the Securities Act, 2015, fraudulently inducing securities transactions and making false or misleading statements are criminal offences.
SECP has also emphasized the need to strengthen the Audit Oversight Board (AOB) and bring its legal framework closer to international practices and the principles of the International Forum of Independent Audit Regulators (IFIAR).
Effective audit oversight requires sufficient inspection and enforcement powers, qualified technical staff and stable funding to hold auditors accountable and protect the reliability of financial reporting.
