Mark Zuckerberg just found a way to sell part of his Meta stake without loosening his hold on the company at all.
Meta Platforms unveiled a recapitalization plan on October 21–22, 2026. It creates a new class of non-voting shares and pairs it with a side deal that lets its founder unlock some of his wealth while keeping every ounce of voting power.
Reuters Breakingviews framed it through Zuckerberg’s well-documented fascination with Rome and the emperor Augustus. The comparison fits. Augustus also figured out how to look like he shared power while keeping all of it.
How the Class C shares work
The centerpiece is a new class of Class C common stock, detailed in Meta’s SEC filings. These shares carry no votes.
Existing holders of Class A and Class B stock will receive one Class C share for every share they already own. The distribution takes effect on January 19, 2027.
The bigger purpose is what comes after. Meta can use these non-voting shares for future fundraising, acquisitions, employee pay and AI projects. None of that issuance would dilute the voting structure.
The Founder Alignment Agreement
The part with Zuckerberg’s name on it is the Founder Alignment Agreement. It permits him to sell up to 20% of the Class C shares he receives.
That works out to about 10% of his total economic interest in Meta. Crucially, those sales would not reduce his voting power or touch the super-voting Class B shares he keeps.
As of early October 2026, Zuckerberg controlled roughly 60.6% of Meta’s voting power through those Class B shares. He could sell a slice of his economic stake and still be the only vote that really counts.
The agreement also includes a commitment from Zuckerberg to keep living in California, where Meta is headquartered, for the next eight years.
That residency pledge connects to Proposition 40, an upcoming California wealth tax proposal. The measure may impose significant financial liabilities on billionaires.
Approval did not require a separate shareholder vote. Entities controlled by Zuckerberg and Priscilla Chan hold majority voting power, and they signed off.
Why Meta wants a war chest
The timing makes more sense once you look at Meta’s spending plans. The company expects to put $135–145 billion into AI-related capital expenditures in 2026 alone.
Meta is looking to raise hundreds of billions of dollars over the coming years to support AI growth. Issuing ordinary voting stock at that scale would steadily erode Zuckerberg’s majority. Non-voting shares solve that problem neatly.
The deal arrived alongside strong earnings. Meta’s stock rose in after-hours trading following the announcement.
A plan Meta tried once before
This is not Meta’s first attempt at non-voting stock. In 2017, the company proposed a similar structure and dropped it after investor pushback.
Back then, outside shareholders could still make enough noise to stop it. Nine years later, the vote never came to them. Zuckerberg’s controlling entities approved the changes directly.
What this means for shareholders and the AI race
For ordinary Meta investors, the near-term effect is mostly mechanical. Holders will see their share count double in January 2027, with the new Class C shares carrying economic rights but no votes.
Each future Class C issuance for deals or fundraising adds economic claims without adding voting claims. Outside shareholders keep their slice of profits relative to new issuance, but their collective voice stays capped.
The structure gives Meta flexibility to pay for acquisitions and talent with stock that comes with no governance strings. In an AI race where Meta has committed $135–145 billion in capital expenditure for 2026 alone, that flexibility matters.
