Solidigm IPO Pits AI Growth Funding Against Shareholder Concerns, Raising Dilution Fears

As Solidigm, SK hynix’s U.S.-based NAND flash subsidiary, steps up preparations for a potential U.S. stock market listing, debate over the plan is intensifying. The central conflict is between the view that substantial fundraising is essential for SK hynix to strengthen its position in the artificial intelligence (AI) memory market and concerns that a separate listing of Solidigm could undermine the value of shares held by SK hynix shareholders.
According to industry sources and foreign media reports on Oct. 18, Solidigm has selected Goldman Sachs and Morgan Stanley as lead underwriters for a potential initial public offering (IPO) and is considering a Nasdaq listing next year. Market estimates put Solidigm’s valuation at up to $150 billion, or approximately 210 trillion won, while the offering could raise as much as $15 billion, or about 21 trillion won. SK hynix has said that no decisions have been finalized. However, reports that Solidigm recently hired a former Qualcomm executive as vice president for government affairs and engaged a U.S. lobbying firm have fueled speculation that preparations for a listing are advancing.
The biggest concern is the potential erosion of shareholder value stemming from a separate listing of the subsidiary. If Solidigm goes public independently, the value attributed to the company within SK hynix’s overall valuation could be affected, potentially reducing the economic benefits enjoyed by existing SK hynix shareholders. When reports of a potential listing first emerged in August, SK hynix shares fell more than 10% in a single day, reflecting market concerns. The Korea Corporate Governance Forum described the arrangement as a “five-tier dual-listing structure,” arguing that it would allow outside investors to share in gains generated by existing shareholders, who had borne losses over an extended period.
Criticism has also emerged from the political arena. On Oct. 19, Rep. Ahn Cheol-soo of the opposition People Power Party wrote on social media that Solidigm’s listing was “a scheme designed to allow the controlling shareholder and affiliates to appropriate the interests of SK hynix shareholders.” He argued that the government should use every available public measure to block the move. Ahn warned that allowing the listing to proceed could spell the end of South Korea’s stock market and urged President Lee Jae-myung and financial regulators to take action.
Others argue that the benefits of an IPO could outweigh the risks. Bloomberg Intelligence (BI) said in a report that the advantages of listing Solidigm could exceed the governance concerns. Under this view, even if an IPO reduces SK hynix’s ownership stake, the proceeds could finance expanded production capacity and research and development, potentially generating long-term profit growth that offsets the dilution. ARK Invest CEO Cathie Wood has also expressed support for allowing Solidigm to establish an independent market valuation and raise capital, saying that U.S. investors would not necessarily view the move as a dual-listing issue.
SK hynix faces substantial investment requirements in AI-related semiconductor businesses, including high-bandwidth memory (HBM) and advanced packaging. If Solidigm raises funds independently through an IPO, it could ease the parent company’s financing burden and allow SK hynix to concentrate more resources on its core businesses. Supporters argue that stronger long-term earnings could ultimately benefit shareholders through dividends and other forms of returns.
The government and financial regulators have also introduced guidelines intended to strengthen shareholder protections when subsidiaries of domestically listed companies pursue overseas listings. If Solidigm’s IPO moves forward, SK hynix could be required to assess the impact on shareholders and communicate its plans and safeguards to investors. However, questions remain about how effectively the rules can be enforced. The measures SK hynix adopts to address shareholder concerns could therefore become a key factor in determining the listing’s prospects.
