AMC Entertainment will not consent to Robinhood stock tokens replicating AMC shares in the United States, CEO Adam Aron said Thursday. But the US Securities and Exchange Commission’s framework gives issuers a limited right to block trading on a notified venue—not a blanket veto over tokenization or an automatic stop to Robinhood’s offshore products.
Key takeaways
- AMC opposes Robinhood creating US tokens tied to its shares.
- Robinhood’s offshore tokens provide stock-linked exposure without shareholder rights.
- The SEC exemption allows written issuer objections within 30 calendar days.
AMC challenges Robinhood’s stock tokens
At the heart of Aron’s pushback is the question of who governs AMC’s capital structure. Writing on X, he labeled the instruments “fake, synthetic shares” and cautioned that they might interfere with that structure.
“AMC should control our financial destiny, not Robinhood,” he wrote, tagging Robinhood CEO Vlad Tenev and legal chief Dan Gallagher.
This dispute builds on a prior public disagreement. On September 4, 2026, Aron called on Robinhood to halt trading of AMC stock tokens, stating that securities counsel had been tasked with determining whether AMC had grounds to block it. Tenev replied the same day: “We stand behind Stock Tokens.”
Robinhood’s legal counsel has argued that the offshore products are debt instruments distinct from AMC shares, so AMC’s consent was not required for them.
The SEC exemption gives issuers a venue-specific objection
The SEC Innovation Exemption, dated September 17, 2026, establishes an objection process for particular trading venues rather than requiring affirmative consent from every underlying company. The exemption runs for five years.
A venue using the exemption to trade shares tokenized by an unaffiliated third party must first send written notice to the underlying company. It must then wait at least 30 calendar days from receipt of that notice.
If the company submits a written objection during that period, the venue cannot offer that tokenized stock for trading under the exemption. That restriction does not amount to a general prohibition on other products referencing the company’s stock.
Under the framework, tokens must also come with entitlements matching those of regular shares, such as dividends and voting rights, while third-party securities that simply mirror synthetic exposure to another security are not covered.
Offshore tokens offer exposure, not share ownership
The AMC stock tokens Robinhood currently offers overseas are actually debt instruments issued by Robinhood Assets (Jersey) Limited, rather than actual equity stakes in AMC. Robinhood says underlying shares back the tokens one-for-one, but holders receive neither legal nor beneficial rights in the companies represented.
That distinction separates stock-price exposure from shareholder status. It also separates Robinhood’s offshore offering from the rights-bearing tokens covered by the SEC exemption.
Robinhood’s disclosures prohibit offers or sales in the United States and to US persons. The offshore products are not registered under US securities laws. Its broader offering includes more than 190 stock tokens linked to companies and exchange-traded funds.
AMC’s refusal to consent to Robinhood stock tokens in the US therefore does not automatically halt those offshore instruments. The SEC process blocks trading on the notified venue under the exemption when an issuer objects on time.
Robinhood executives have indicated plans to allow one-for-one redemption of tokens for shares and extend voting rights to holders. Those remain stated plans, not current product features.
