The U.S. Commodity Futures Trading Commission has started a rulemaking process for a narrow but consequential slice of crypto trading: transactions offered to retail customers with leverage, margin or financing. The agency is seeking comments on how a federally registered crypto venue might operate. Ordinary fully paid spot trades would not automatically move into the proposed system.
Summary
- The CFTC’s October 5 advance notice seeks comment on retail crypto commodity transactions offered with leverage, margin or financing under existing statutory authority.
- Its proposed crypto asset market category would sit within the designated contract market registration framework, subject to rules the agency has yet to write.
- Chair Michael Selig says voluntary federal registration would not require every crypto exchange or spot trade to move to the CFTC; that broader mandate would need Congress.
- Actual delivery within 28 days and the nature of customer control can change whether a financed retail purchase falls under this part of the Commodity Exchange Act.
- The consultation has not set binding leverage caps, approved an exchange, displaced state requirements or established a final compliance date.
The CFTC’s October 5 announcement invokes section 2(c)(2)(D) of the Commodity Exchange Act. The section reaches certain commodity transactions with retail customers when leverage, margin or financing is provided. The agency calls the contemplated products crypto asset transactions, or CTXs, and is seeking input on a registration path for crypto asset markets, or CAMs. Its own release says the comments will inform potential future rulemaking. Nothing in the announcement makes a CAM licensed today.

Selig’s published explanation draws an unusually clear boundary. The rules could offer an option for exchanges that want one federal market regulator for covered trading, but they would not force all crypto assets to trade on CFTC venues. Selig said the agency lacks authority to impose that broader requirement without legislation. The feature question is therefore about transaction structure and customer rights, not a blanket assertion that every Bitcoin purchase becomes a futures trade.
The first dividing line is retail leverage
A customer who pays the full price of BTC with available funds and receives an ordinary spot balance is not made a CTX simply because the exchange lists Bitcoin. The CFTC retains anti fraud and manipulation authority in commodity spot markets, but the announced registration plan targets a different statutory hook. Whether an asset is a security and whether other regulatory duties apply can raise separate questions; the CFTC proposal does not erase them.
Consider a customer who deposits $1,000 and receives $3,000 of BTC exposure because the platform finances the rest. That looks closer to the class of retail commodity transaction identified in section 2(c)(2)(D). The treatment still depends on the agreement, who provides the financing, how and when the coin is delivered, and whether a statutory exception applies. A label such as “spot” on an app cannot settle those issues on its own.
The law refers to a retail person who is neither an eligible contract participant nor an eligible commercial entity, subject to its definitions and exceptions. An institutional counterparty meeting a relevant status test does not become retail simply because it uses the same interface. Product teams would need to segment customers and financing arrangements before deciding which proposed requirements affect which orders.
Borrowing from a third party may raise different questions from credit supplied by the offeror, counterparty or someone acting in concert. The statute and past guidance address particular relationships. The CFTC’s planned Regulation CTX is meant to give more crypto specific detail, but its October release does not publish a complete classification table for every lender and exchange architecture. An exchange cannot assume an outside loan always removes an order from scope.
The distinction extends to perpetual contracts and futures. The CFTC already regulates many derivatives through separate provisions and registered venues. A CAM subcategory designed for covered retail crypto commodity transactions is not a replacement for all of those rules. An exchange offering futures, options or swaps could require the usual designated contract market framework and associated clearing and intermediary rules, depending on the product.
Actual delivery can change the answer
The Commodity Exchange Act has an exception for a covered sale that results in actual delivery within 28 days. The CFTC’s 2020 guidance explains two main factors for certain digital assets: a customer must secure possession and control of the entire purchased quantity, including the financed part, and be able to use it freely away from the execution venue by the deadline. The offeror and related financing parties cannot retain an interest, legal right or control after that time.
Those factors are more demanding than a line in a trading app showing a BTC balance. The Commission’s detailed interpretation gives examples in which internal book entries or a cash settled offset do not constitute actual delivery. If a venue keeps control over all the keys and prevents a customer from withdrawing financed BTC, the legal result may differ from a purchase whose entire quantity reaches a customer controlled address in time.
A trader could have access to an exchange account and still lack free control for purposes of this specific exception. Conversely, actual delivery does not mean every financed purchase is exempt under any circumstances; the precise legal rights and the role of the counterparty still matter. The new consultation asks how the existing framework should be adapted and clarified for crypto markets. It has not retroactively rewritten the 2020 interpretation.
The 28 day period is a legal condition, not permission to display fictitious inventory during that time. Firms still owe customers the assets or rights specified by their contracts and remain exposed to fraud law. An editor should avoid translating the exception into a general guarantee that any exchange can offer retail margin for 28 days outside federal supervision. The exception depends on what actually happens to the asset and legal control.
What would a crypto asset market be?
The CFTC is asking whether to codify a crypto specific subcategory of designated contract market registration. A DCM is a federally regulated trading venue under the Commodity Exchange Act. A tailored CAM path could offer an exchange rules adapted to crypto asset transactions while retaining the DCM’s statutory core principles. The designation is a contemplated rulemaking category, not a license that an operator can claim on the basis of a press release.
The agency wants comments on preventing abusive practices and identifying crypto specific compliance information. Selig has described concerns involving concentrated holdings, token lockups, vesting, programmed issuance, exchange conflicts and customer asset protection. Coverage of the October consultation sets out the difference between Regulation CTX, which concerns the transactions, and Regulation CAM, which concerns a potential venue category.
Platform safeguards may include market surveillance, order handling, conflict management, customer property protections and information about listed assets. Those are subjects for consultation and later rule text; no completed list of obligations can be presented as a binding CAM standard today. A proposed proof of reserves obligation described in public discussion would need precise rules on what it measures, who verifies it and whether liabilities are included. A wallet balance alone cannot prove every customer claim is covered.
The intermediation question has consequences for familiar exchange design. Registered futures commission merchants traditionally serve as intermediaries in futures markets and handle customer funds under federal rules. A model that requires such intermediaries for covered crypto trades would alter direct retail onboarding and clearing arrangements at some crypto venues. The October agency release does not settle every point of the eventual model or authorize existing spot platforms to use DCM terminology without registration.
An operator seeking registration would face supervision, ongoing compliance and a federal market rulebook. Whether a firm chooses it may depend on customer demand for leverage, the cost of compliance, access to clearing and how state licensing requirements interact. A voluntary route is commercially useful only if it can support products customers want at viable cost. That calculation awaits actual text, applications and approvals.
Which trades stay outside the proposed lane?
Fully paid commodity spot transactions with no covered leverage, margin or financing are the clearest category outside the new CTX path described by Selig. They may still be subject to state money transmitter rules, federal anti money laundering duties and CFTC spot market anti fraud provisions. Saying they fall outside this registration plan is not the same as saying they are unregulated.
Securities transactions belong to a different regulatory analysis. The SEC’s March 2026 interpretation and CFTC’s accompanying guidance discuss the categorization of certain crypto assets and transactions. The current CFTC consultation cannot simply classify every token on a venue as a nonsecurity commodity. A platform listing multiple assets needs a process for asset classification and may encounter overlapping securities and commodities obligations.
An eligible institutional transaction may sit outside the retail provision but fall under derivatives or other rules if its design so requires. A physically delivered purchase can qualify for a statutory exception if the conditions are met. An offshore venue serving U.S. residents presents access and jurisdiction questions that the word “offshore” does not resolve. These examples show why product, customer, financing and delivery have to be assessed together.
Stablecoins as collateral introduce further distinctions. A customer depositing a payment stablecoin to fund a fully paid purchase is different from one borrowing stablecoins from the platform to take a leveraged position. Whether the asset used as collateral changes a transaction’s classification depends on the economic agreement, not just the token ticker. The CFTC’s recent registered entity FAQs address other questions involving tokenized collateral and recordkeeping, which should not be confused with a new general license for retail spot margin.
The proposed federal venue path does not itself confer banking powers, insurance for deposits or permission to custody all customer assets without controls. A CAM would be a market registration category with specific obligations to be developed. Users would need to read the venue’s custody, insolvency and dispute terms even after a framework is finalized.

The state licensing question remains
Selig has argued that state money transmitter licenses are not uniform and were built for payments rather than financial markets. A registered federal trading venue could provide a clearer option for certain leveraged retail trades. The announcement does not explain the final scope of preemption or remove state licensing obligations from existing firms today. A state regulator’s authority over payment activities, a bank’s charter and federal trading supervision can coexist in different parts of one business.
A national brand can operate multiple legal entities. One might handle customer onboarding, another custody and another matching. If only a covered market entity registers, other parts of the group may retain state or federal obligations. A single federal supervisor for the trading venue does not necessarily mean one regulator for every service the customer uses.
The comparison with Congress matters. Legislation could create a mandatory registration framework for a much broader share of spot markets and set boundaries between agencies in statute. A CFTC rulemaking grounded in existing authority has to stay within the transactions Congress already made subject to its reach. Selig explicitly acknowledges that limitation. Earlier reporting on the same notice described it as an option rather than an exchange wide command.
Industry comments may challenge the practical line between financed retail trades and ordinary spot. They may seek clarity on custody, actual delivery, conflict rules and obligations for intermediaries. Consumer groups may press for more complete disclosure of leverage and counterparty risk. The agency can respond in a later proposal; its current advance notice chiefly frames questions.
A map of four ordinary trading situations
A customer who deposits $2,000, buys $2,000 of BTC and can withdraw it has made an ordinary fully paid spot purchase in this simplified example. The new CTX rulemaking is not aimed at converting that trade into a registered derivative. Anti fraud and other obligations still apply.
A customer who posts $2,000 and uses exchange credit to take $10,000 of BTC exposure presents a covered retail leverage question. If the exchange keeps the asset and offers only a claim against itself, the actual delivery exception may be unavailable. Any future CAM venue path could be relevant, subject to the eventual rule and registration.
A customer who finances the purchase but takes control of the entire quantity of BTC and can use it away from the venue within 28 days presents a different legal fact pattern. The exception requires the offeror and related parties to lose retained control or interest under the guidance. A partial withdrawal or book entry is insufficient just because an app calls it delivery.
A large institution trading a listed futures contract on a registered derivatives exchange follows yet another regime. The retail commodity transaction consultation is not a substitute for futures oversight. A CFTC registered platform might operate more than one type of market, but it would have to satisfy the rules attached to each product.
These cases are explanatory hypotheticals, not determinations about a named exchange. The underlying contract, customer status, rights to coin and actual operations could alter the legal answer. A feature can show the boundary clearly without claiming an unknown platform has violated or satisfied it.
What happens next in the rulemaking?
The CFTC calls its release an advance notice of proposed rulemaking. It asks for written comments and says the deadline will be 60 days after publication in the Federal Register. As of October 12, the agency’s release does not establish a final calendar date in the article’s source record. A future Federal Register notice and any deadline should be checked when published, rather than anticipated from a search result that appears before its official date.
After collecting views, the agency could publish proposed rule text for another round of comment, revise its approach or decide against parts of the contemplated framework. Final rules would require agency action and an effective date. A court challenge could test the boundaries of statutory authority. None of those stages has been completed by the initial announcement.
Registration would be a separate process even after rules exist. A platform would have to apply, show it satisfies applicable standards and receive authorization. Consumers cannot assume today’s exchanges have become federally supervised CAMs merely because an agency has opened a consultation.
— crypto.news (@cryptodotnews) September 17, 2026UST IN: CFTC Chair Michael Selig says the agency is ready to build crypto market rules if CLARITY remains stalled

The hard questions a final proposal must answer
First, the rule needs a workable definition of financing when a trading app combines a spot order, an external lender and a custodial account. Customers may see one position on their screen while separate entities provide liquidity, custody and credit. The statutory inquiry does not disappear because those functions have different corporate names. A final proposal would need to describe how an operator identifies coordinated financing and what evidence it keeps.
Second, regulators must distinguish customer controlled delivery from an exchange’s promise to deliver later. A venue could credit an account with BTC while preventing the withdrawal of the financed portion. It could hold private keys, require its own approval for transfers or retain a lien on the asset. The CFTC’s existing guidance looks to control over the entire purchased quantity and the financier’s residual interest. Future crypto specific terms need to be reconciled with that interpretation rather than silently replacing it.
Third, a venue rule needs a realistic approach to listings. A token’s concentrated supply, issuer connected trading, timed unlock and market maker agreement could create manipulation risk even when the matching engine itself behaves correctly. A platform may have to identify who can alter token supply and how that information reaches customers. The consultation invites market safeguards, but it does not provide a universal asset approval list.
Fourth, proof of reserves needs a definition of the claim being proved. Publishing addresses with coins does not show how much the platform owes customers or whether assets are pledged elsewhere. A proper framework would need to specify liabilities, timing, auditors or independent verification, and treatment of assets held through a custodian. Claims that the proposal already guarantees full backing would outrun the text available on October 12.
Fifth, intermediary design has to address the customer path from registration to withdrawal. A futures commission merchant could hold a customer account while a venue matches trades and a third party holds coin. Responsibility for a failed transfer or disputed liquidation must be assigned before the structure can function at scale. Users would otherwise face multiple entities pointing at one another when their assets become inaccessible.
Finally, a federal option has to be legible to an ordinary trader. A platform could offer fully paid spot, covered retail margin and derivatives in separate interfaces. A customer should know which entity is counterparty, which regulator supervises the particular service and what protection applies to the asset balance. A company wide statement that it is “CFTC regulated” would not by itself explain the status of every product. The rulemaking can turn that distinction into concrete disclosure, but an advance notice has not done so yet.
What to watch
- Federal Register publication: Confirm the official notice and deadline; the CFTC says comments run 60 days from publication.
- Retail financing definitions: Check how a later proposal treats third party credit, collateral and exchange supplied leverage.
- Actual delivery: Examine customer control of the full asset and any continuing financing party interest after 28 days.
- CAM registration: Look for concrete DCM core principle adaptations, intermediary requirements, custody controls and proof of liabilities.
- Scope limits: Distinguish covered margined retail commodity trades from fully paid spot, securities and existing futures markets.
- First applicants: An actual exchange registration and approved rulebook would show how the optional model works in practice.
FAQ
Is the CFTC rule already in effect?
No. Its October 5 action is an advance notice soliciting comment on possible future rules, not a final registration framework.
Would every Bitcoin spot trade be covered?
No. The CFTC focuses on certain retail commodity transactions offered with leverage, margin or financing. Fully paid ordinary spot purchases are not automatically included.
What is a CTX?
The agency uses crypto asset transaction for the covered category of retail commodity transaction under section 2(c)(2)(D).
What would a CAM be?
A crypto asset market is a contemplated subcategory within designated contract market registration for covered transactions. Rules and registrations have not yet been completed.
What does actual delivery mean?
For certain digital assets, the CFTC’s guidance asks whether a customer controls and can freely use the full purchased asset away from the venue within 28 days and whether the seller and financiers relinquish their interest and control.
Would state licenses disappear?
No such immediate change has been made. How a future federal venue regime interacts with state and other federal obligations remains a material question.
Can the CFTC force all spot exchanges to register?
Chair Selig says the contemplated rules would not impose that broad requirement and that Congress would have to grant the authority.
When can an exchange apply?
The agency has not finalized the CAM framework or announced an application launch. A consultation alone is not an approval.
