Payward's Saldo Bank acquisition makes it the first crypto-native firm to own a regulated European bank. In Europe the regulatory perimeter is for sale; in America it is still a queue.
Payward, the parent company of Kraken, has just become the first crypto-native firm to acquire a European bank. The real story is the geography of the regulatory perimeter: in Europe, it is for sale, while in America, it is a queue. By signing a definitive agreement to acquire Saldo Finance Oy, a Finnish holding company that owns the digital-first specialized bank Saldo Bank UAB, Payward has found the shortcut around the queue that defines the current American experience.
The deal, announced in Payward’s own announcement on October 14, 2026, grants the firm a five-market footprint. Saldo Bank operates in Lithuania, where it holds its license, and provides services in Finland, Sweden, Germany, and the Netherlands via EU passporting. While the deal price remains undisclosed, the scale of the asset is a matter of some reporting confusion. CoinDesk reporting cites total assets of approximately $190 million in its lede, though the body of the same article references 163.9 million euros, or roughly $180 million, at the end of 2025. Payward’s official release does not state a figure, leaving the discrepancy as a quirk of the reporting rather than a confirmed financial metric.
This acquisition is not a pivot, but an infrastructure play. Saldo Bank brings a suite of products including retail term deposits, consumer and SME lending, credit cards, and banking-as-a-service capabilities. As Arjun Sethi, Co-CEO of Payward, noted in the release: “A regulated EU bank is the piece that lets us serve European clients the way a primary financial institution should: one place to hold assets, move them freely, and put them to work. We believe whoever owns that relationship earns the right to serve everything around it. We are starting in the EU, and the ambition is global.”
The contrast with the United States is stark. Payward has been simultaneously building its US stack, securing a Federal Reserve limited-purpose master account in March 2026 and filing an application for an OCC national trust bank charter in May 2026. Yet, the US landscape remains a bottleneck. A long line of crypto and fintech firms is currently queuing for trust or bank charters through the OCC, with little movement to show for it. The implementation of the GENIUS Act, which was intended to provide a clearer path, has already missed its July 18, 2026, statutory deadline. With seven agencies – including the OCC, FDIC, and the Fed – missing the mark and no statutory fallback in place, the effective date is now locked to January 18, 2027.
The structural difference is clear: the European Union offers a standardized framework under MiCA and allows for acquisition-based entry, where a firm can buy an existing license and immediately leverage passporting to operate across the European Economic Area. In the US, there is no such acquisition path for a crypto-native firm to instantly gain a bank charter. Instead, applicants are stuck in a multi-agency queue that has proven remarkably resistant to statutory timelines.
Jarkko Mäensivu, President of Saldo Bank, captured the pragmatic reality of the deal: “A banking license is only as valuable as what you build on top of it. Payward has spent years assembling regulated infrastructure across the US and Europe. Saldo Bank’s infrastructure was built to be Europe-wide, enabling innovative banking solutions including embedded services for other fintechs.”
Payward’s strategy is to build both layers of the stack simultaneously, but the speed of execution in Europe highlights the friction in the US. The acquisition is expected to close in 2027, subject to regulatory approvals. The question now is whether this deal serves as a blueprint for other US-based firms. If the American queue remains stalled, the next move may be to stop waiting for a charter and start shopping for a perimeter instead.
