KUALA LUMPUR: The Securities Commission Malaysia (SC) has approved an extension until Nov 30, 2026, for Yinson Legacy Sdn Bhd (YLSB), MISC Bhd and the Employees Provident Fund (EPF) to announce their intention regarding the proposed privatisation of Yinson Holdings Bhd.
In a Bursa Malaysia filing, Yinson Holdings said the SC announced this in its letter dated Oct 19, 2026. The extension will allow the parties to continue evaluating and discussing the proposed scheme.
"The proposed scheme remains subject to, amongst others, evaluations and negotiations among the parties, execution of definitive agreements, determination of the final offer price, and such other requisite approvals and conditions as may be determined.
"Accordingly, there can be no assurance that the discussions will lead to or result in the implementation of the proposed scheme," it said.
In a separate filing issued by MISC Bhd, the company said that the proposed privatisation of the offeree would be undertaken by way of a scheme of arrangement under Section 366 of the Companies Act 2016.
It also noted that this announcement does not constitute a firm intention to privatise the offeree (Yinson Holdings) and there is no certainty that any offer or transaction will ultimately be made.
On Aug 28, YLSB proposed a potential privatisation at an indicative offer price of RM2.35 per share following preliminary discussions with MISC, EPF, its affiliates, and other stakeholders.
