American Airlines has used all of its warrants in Brazil’s Azul, and the Brazilian airline’s capital rose by R$512.8 million (about US$102 million) as a result.
Azul, one of Brazil’s largest airlines, said on Tuesday, 20 October, that American had exercised its subscription warrants in full, meaning rights to buy new shares at a set price. The rate used is 5.03 reais per dollar, the EODHD market rate of 21 October.
The deal shows a US company still putting money into Brazil’s economy after a hard restructuring. Azul restructured under Chapter 11, the US bankruptcy protection that lets a company reorganise its debts while it keeps flying.

What Happened at Azul
Azul said American was exercising its Series 1 and Series 4 warrants in full. The new shares reached American in book-entry form on Tuesday.
Azul issued 31,838,775 new shares to American and 432,551 more to other investors who used their own warrants. Those investors will receive their shares within three business days.
American plans to place its shares in Azul’s ADR programme, which lets US investors hold Brazilian stock as dollar certificates. After the issue, Azul has 400,829,250 ordinary shares outstanding.
In Plain English
- Warrant: a right to buy shares at a fixed price, issued under Azul’s restructuring plan.
- Capital increase: the company sells new shares and receives cash.
- ADR: a certificate that lets US investors hold shares of a foreign company.
- Codeshare: one airline sells seats on another airline’s flights.
The Numbers at a Glance

- Shares outstanding afterwards: 400,829,250.

Why American Airlines Is Investing
United Airlines put US$100 million into Azul when it left Chapter 11, and American promised the same amount, subject to approval. Brazil’s competition authority, CADE, unanimously approved American’s US$100 million investment on 7 October.
At about 7.9%, American is a minority holder and does not control Azul. The two companies also announced plans for a codeshare earlier this year.
Azul’s chief executive, John Peter Rodgerson, left the board and its Strategic Committee but stays as CEO, according to Veja. His alternate, Jeff Ogar, took both seats.
What It Means for US Readers
For travellers, a US carrier with equity in Azul could make it easier to book connections inside Brazil once the codeshare starts. The coverage we reviewed gives no start date.
For dollar investors, the cash strengthens Azul’s balance sheet but dilutes existing holders by about 8.8%. Azul’s shares trade in São Paulo under the ticker AZUL3, and the
Ibovespa guide explains how that market works.
What Is Not Known
The coverage we reviewed does not give the price per share, or how much of the R$512.8 million came from American rather than other holders. It also does not say when the codeshare will begin.
We could not confirm how Azul’s shares traded after the announcement. Azul’s next quarterly report will show how the new cash changes its balance sheet.
