Shell has agreed to sell Shell Nigeria Gas, its domestic gas distribution business, to the Nigerian company Vaaris Energy. The deal, announced on Tuesday, covers about 170 kilometres of pipeline and more than 130 industrial customers.
Shell Petroleum B.V. has signed an agreement to sell its full interest in the Shell Nigeria Gas group. The buyer is Vaaris Energy Limited, a Nigerian energy firm active across the oil and gas sector.
The sale marks Shell’s exit from piped gas distribution inside Nigeria, one of Africa’s largest oil producers. It follows the company’s retreat from Nigerian onshore oil and its tighter focus on deepwater fields and liquefied natural gas.
What Shell Nigeria Gas Covers
Shell Nigeria Gas supplies natural gas to industrial and commercial users and has done so for more than 25 years. The business runs about 170 kilometres of pipeline across Ogun, Abia and Rivers states in the south.
The sale covers two entities, Shell Nigeria Gas Limited, formed in 1998, and Shell Nigeria Gas Holding B.V., set up in 2019. The holding company owns all but one of the shares in the operating business.
Both BusinessDay and ThisDay, two Nigerian newspapers, reported the agreement on Tuesday, 13 October. Each cited the same Shell statement and gave matching figures for the pipeline and the customer base.
Who Vaaris Energy Is
Vaaris Energy Limited is a Nigerian company with interests across the oil and gas value chain. It already has an operational footprint in the country, according to the reports citing Shell.
The company has not said what it plans for the pipeline network or its connected customers. Shell said the unit continues to operate as usual until the sale completes.
Why Shell Is Narrowing Its Nigeria Focus
Elohor Aiboni, Shell’s country chair in Nigeria, announced the deal in a statement signed by country communications manager Gladys Afam-Anadu. “We believe this agreement provides a much stronger platform for the business’ next chapter under new ownership,” Aiboni said.
She said Shell keeps its focus on deepwater and integrated gas positions in Nigeria, including its stake in Nigeria LNG. That export plant sits on Bonny Island in Rivers State.
Shell has been shrinking its onshore and shallow-water presence in Nigeria for several years. In 2025 it completed the sale of its onshore subsidiary, the Shell Petroleum Development Company, to a group of local firms.
A Shift to Local Operators
International oil majors have been selling Nigerian assets to local companies for several years. Buyers at home have taken over fields and infrastructure as the majors move offshore.
Supporters say local ownership can speed decisions and keep value in Nigeria. Critics warn that smaller firms may lack the capital and spill-response capacity of the departing majors.
What It Means for US Readers
Shell trades in New York as an American depositary receipt, so US investors hold the stock widely. This disposal is small for a company of Shell’s size and will not move its share price on its own.
The deal fits a pattern of Western majors handing Nigerian assets to local operators. For US energy firms it signals both the risks of onshore Nigeria and the appetite of domestic buyers to step in.
Shell keeps its most valuable Nigerian positions, including deepwater oil and the Nigeria LNG export plant. Those supply global markets that American buyers and traders follow closely.
What Is Not Known
Neither company has published the value of the transaction. The closing date is also unknown, and the deal still needs regulatory approvals in Nigeria.
Vaaris Energy has not set out its plans for prices, staff or the pipeline network. Its relationship, if any, to Vaaris Resources, a buyer of TotalEnergies assets in Nigeria this year, has not been stated.
The identity of the single remaining shareholder in Shell Nigeria Gas Limited has not been disclosed. It is also unclear how many staff will transfer to the new owner.
What Comes Next
The sale now goes to Nigerian regulators, whose approval is needed before it can complete. Until then Shell Nigeria Gas stays part of Shell and keeps serving its customers.
Watch for a closing announcement and for any word from Vaaris Energy on tariffs or investment. The outcome will show whether local firms can run the gas network as reliably as the previous owner.
