J.P. Morgan nears launch of first African merchant bank

…deposits N50bn to CBN

JPMorgan Chase is moving closer to establishing a licensed banking operation in Nigeria after depositing N50 billion ($38 million) with the Central Bank of Nigeria (CBN), according to Bloomberg.

The deposit meets a key requirement in its application for a merchant banking licence.

The move could mark a shift for the largest U.S. bank, which has advised Nigerian governments and companies on Eurobond issuances and other financial transactions for years, largely operating through its Lagos representative office.

However, the deposit does not guarantee approval. The CBN must still make a final decision on the application.

Olumide Sole, head, Financial Institutions Research at Renaissance Capital Africa, said JPMorgan’s entry into Nigeria’s merchant banking market could reshape access to international capital, corporate financing costs and investment flows into Nigeria and the wider African economy.

“Its establishment of a licensed banking operation in Nigeria encourages other global banks to expand their African presence, leading to competition, cross-border trade, financial integration and Africa’s long-term economic growth,” Sole added.

Tajudeen Ibrahim, director, research and strategy at Chapel Hill Denham, said this is an indication of innovation in the sector.

“When you see developments such as the acquisition of a merchant banking licence, the introduction of new products and opportunities to expand the market, it attracts interest from investors because industry players can see the potential benefits of these initiatives.”

What JPMorgan has done

The N50 billion deposit fulfils a key capital requirement for a nationally authorised merchant bank in Nigeria. Under the CBN’s banking recapitalisation framework, such institutions are required to have minimum paid-up capital of N50 billion.

The requirement helps regulators establish that banks have sufficient capital to support their proposed operations. JPMorgan’s move suggests it is preparing for a merchant banking business rather than a full commercial banking operation.

Bloomberg reported that the bank expects to receive its licence by the end of 2026 or early 2027, subject to regulatory approval. JPMorgan declined to comment, while the CBN did not immediately respond to a request for comment.

A merchant banking licence would allow JPMorgan to expand beyond advisory services into a wider range of wholesale financial activities. Depending on the scope of its approval, these could include corporate lending, treasury services, capital markets transactions and asset management.

For large Nigerian companies, the entry could provide another route to international financing, structured deals and access to global investors. JPMorgan already has a track record advising on major Nigerian Eurobond transactions, but a licensed local operation would give it a more direct role in the domestic banking market.

Expanding its African presence

The Nigerian application comes as JPMorgan strengthens its operations across Africa, seeking more business in trade finance, lending, payments and corporate banking.

The bank has recently made several regional appointments, including Edward Bell as head of investment banking in sub-Saharan Africa, Sailepu Montet as head of its Kenya office, and Michael Ahonzo Avou to oversee operations in Ivory Coast.

A Nigerian licence would give the bank a more substantial local presence, moving it beyond the representative office model it has maintained in Lagos for decades.

What it means for Nigeria’s market

JPMorgan’s entry could increase competition in wholesale banking, particularly in services for multinational companies, major Nigerian businesses, financial institutions and sovereign-related transactions.

Its global balance sheet, international distribution network and capital-markets expertise could strengthen financing options for local companies while putting pressure on established Nigerian and international banks competing for large corporate clients.

The timing is also significant. Nigeria has pursued foreign exchange reforms and efforts to improve external balances and restore investor confidence. JPMorgan’s decision to commit regulatory capital points to its interest in the country’s corporate and capital markets opportunities, although economic and currency risks remain.
